This website www.liquid-leds.com ("Site") is owned and operated by Liquidleds Lighting Pty Limited ("LiquidLEDs"). By accessing, browsing or using this Site, you acknowledge that you have read, understood and agree to be bound by these Terms of Use. You agree to comply with all applicable laws and regulations while using the Site. If you do not agree to these Terms of Use, you may not use or access the Site.

Subject to these Terms of Use, LiquidLEDs grants you a limited, revocable and non-exclusive licence to access and use the Site for the purpose of viewing and reading the Content on the Site. This permission terminates automatically if you breach any of these Terms of Use.

You agree to indemnify LiquidLEDs against any loss, damage, cost or expense (including reasonable legal fees) arising out of your breach of these Terms of Use or your misuse of the Site or Content, except to the extent that such loss, damage, cost or expense is caused by the negligence or wilful misconduct of LiquidLEDs.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LIQUIDLEDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM THE USE OF OR INABILITY TO USE THE SITE. LIQUIDLEDS' AGGREGATE CUMULATIVE LIABILITY ARISING OUT OF ANY PRODUCT PURCHASED ON THE SITE SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU TO LIQUIDLEDS FOR THAT PRODUCT.
Nothing in this section is intended to exclude, restrict or modify any rights or remedies you have under the Australian Consumer Law or any other applicable consumer protection legislation which cannot be excluded, restricted or modified by agreement, including any liability for death or personal injury caused by the negligence of LiquidLEDs.
9. Submissions
Any material, information or idea you transmit to LiquidLEDs or post on the Site will be treated as non-confidential and non-proprietary, and may be used by LiquidLEDs or its affiliates for any purpose, including developing, manufacturing and marketing products. All personal data you provide will be handled in accordance with LiquidLEDs' Privacy Policy. You are prohibited from posting or transmitting any unlawful, threatening, defamatory, obscene, inflammatory, pornographic or profane material, or any other material that could give rise to civil or criminal liability.
10. Terms of Sale
The following terms of sale apply to all offers, sales and purchases of products sold through the Site by LiquidLEDs.
A. Offer, Acknowledgment and Acceptance
Prices and descriptions on the Site do not constitute an offer and are subject to availability. LiquidLEDs cannot guarantee that all products are in stock or available when you submit an order. Your order is an offer to purchase, and is accepted by LiquidLEDs on dispatch of the products to you.
B. Your Representations
You represent that the information you provide when placing an order is accurate and sufficient for LiquidLEDs to fulfil your order. You are responsible for maintaining and promptly updating your account information and keeping your account details and passwords secure.
C. Price
Prices shown on the Site are in Australian dollars and are inclusive of GST and any other applicable Australian tax or duty. LiquidLEDs reserves the right to revise prices at any time prior to order acceptance. LiquidLEDs also reserves the right to notify you of any errors in product descriptions or pricing prior to dispatch and, where a genuine error has occurred, to cancel your order and refund any payments made.
D. Terms of Payment
Payment must be made in full at the time of order via the payment methods offered at checkout. Shipping costs are additional and are displayed at checkout before payment.
E. Delivery
LiquidLEDs will arrange shipping to the delivery address specified in your order. Special packing or shipping arrangements will be charged separately. Risk of loss or damage and title to products pass to you upon delivery to the specified address.

F. Warranty
Most LiquidLEDs products carry a manufacturer's warranty. The applicable warranty period is specified on each product's page in the specifications section at the time of purchase.

Nothing in this warranty is intended to exclude, restrict or modify any rights or remedies you have under the Australian Consumer Law, which continue to apply regardless of the manufacturer's warranty period.
G. Returns Policy
LiquidLEDs offers a 30-day change-of-mind returns policy on eligible products, in addition to your rights under Australian Consumer Law for faulty, damaged or incorrect items.

H. Your Rights Under Australian Consumer Law
Our products come with guarantees that cannot be excluded under the Australian Consumer Law. You are entitled to a replacement or refund for a major failure, and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the products repaired or replaced if they fail to be of acceptable quality and the failure does not amount to a major failure. These rights apply regardless of any warranty periods, return timeframes or other terms stated in these Terms of Use or elsewhere on the Site.
11. General
You may not assign or transfer your rights under these Terms of Use. LiquidLEDs will not be liable for any loss or damage suffered as a direct or indirect result of LiquidLEDs being prevented, hindered or delayed by circumstances beyond its reasonable control, including any act of God, war, riot, civil commotion, government action, explosion, fire, flood, storm, accident, strike, lockout, trade dispute, labour disturbance, breakdown of plant or machinery, or interruption in the supply of power or materials. In such an event, LiquidLEDs may elect to cancel your order and refund any payments made.
These Terms of Use supersede and cancel all previous agreements, whether oral or written, express or implied, between you and LiquidLEDs. No waiver of any term or condition will be effective unless made in writing and signed by LiquidLEDs. The waiver of any breach will not be construed as a waiver of any subsequent breach. If any provision of these Terms of Use is found to be illegal, unenforceable or invalid under applicable law, the remainder of these Terms of Use will continue in full force and effect.
These Terms of Use are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of New South Wales in relation to any dispute arising under or in connection with these Terms of Use.
